LEGAL COUNSEL, FINANCE-M&A

Job Purpose

Alfanar Global Development is the development energy arm of Alfanar Group. We are seeking a seasoned and highly motivated lawyer to join our dynamic legal team. This role will provide strategic legal advice and support on a broad range of project finance and M&A, and corporate finance transactions with a specific focus on the renewable energy sector within the infrastructure industry. You will be a key partner to the business, working closely with deal teams to ensure the successful execution of complex transactions across a global landscape.

 

Key Accountability Areas

  • Lead and manage legal aspects of project finance transactions in the renewable energy sector, including drafting, negotiating, and reviewing financing documents (e.g., loan agreements, security agreements, intercreditor agreements) with in-depth knowledge of relevant infrastructure considerations.
  • Advise on project development, structuring, risk allocation, and mitigation strategies.
  • Conduct due diligence for M&A and corporate financing transactions, identify and analyze legal issues related to infrastructure projects, and recommend appropriate solutions.
  • Draft, negotiate, and review transaction documents (e.g., purchase agreements, shareholder agreements, credit agreements) for M&A, project finance, and corporate financing transactions.
  • Manage relationships with external counsel and ensure efficient and cost-effective legal services for projects across Middle East, Asia, and Europe.
  • Provide legal guidance and support on other corporate matters as needed, with an understanding of their impact on renewable energy projects

Role Accountability

  • Training of sub-ordinates and forming a team to get the work effectively.
  • Provide leadership, coaching, and direction to subordinates in all aspects of their work.
  • Delegate sub-ordinates in each respective assignment.
  • Ensures fair distribution of tasks to maintain morale, motivation of subordinates.
  • Perform the planned activities to meet the operational and development targets as per delivery schedules.
  • Utilize resources effectively to achieve objectives within efficient cost and time.
  • Provide a periodic report formatted by detailing the deviation and execution of planned tasks.
  • Resolve any related problems arise and escalate any complex operational issues.
  • Ensure quality requirements to develop effective quality control and processes including specifications for products or processes or related activities.
  • Coordinate well-defined written systems, policies, procedures, and seeking automations opportunities as much as possible.
  • Comply to related policy and procedures and work instructions.
  • Ensure compliance of relevant safety, quality, and environmental management procedures and controls within defined area of work activity to guarantee safety, legislative compliance, and delivery of high-quality products/services.
  • Academic Qualification

    Bachelor Degree in Legal Assisting
